Key terms at a glance

Effective date: ________________ · Version: 1.0

This summary is for convenience. The full Terms below govern.

  • A binding contract. These Terms are an agreement between your business and ________________. Accept them only if you can bind your business.
  • Free during early access. We will give at least 30 days' notice before any paid plan, and we will charge you only if you choose one.
  • Your books are yours. You own your Business Data. We process it only to run the Services for you, and never sell it or use it to train AI.
  • Tools, not tax advice. Invoices, GST figures, exports and Indi AI drafts depend on what you enter. Check them, and consult your CA, before relying on or filing them.
  • Zero tolerance for fake invoicing. Bogus or circular invoices, and any unlawful use, lead to immediate suspension and may be reported to the authorities.
  • Limited liability. Our liability is capped (clause 17). Export your data regularly.
  • Disputes. Grievance Officer first, then arbitration seated in ________________, without affecting any statutory rights you have.

1. About these Terms

1.1 These Terms and Conditions ("Terms") govern your access to and use of www.indianbilling.com, the Indian Billing web application, Indi AI and related services (the "Services"). The Services are provided by ________________ (________________), with its registered office at ________________ ("Indian Billing", "we", "us", "our").

1.2 By creating an account, clicking to accept, or using the Services, you agree to these Terms and to the policies they refer to, including our Privacy Policy. If you do not agree, do not use the Services.

1.3 If you accept on behalf of a business, you confirm that you are authorised to bind it. "You" then means that business and every person using the Services under its account.

1.4 These Terms are an electronic record under the Information Technology Act, 2000, and need no physical or digital signature. We publish them as rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 ("IT Rules") requires.

2. Definitions

  • "Account" — your registered Indian Billing account and workspace.
  • "Authorised User" — any person you allow to access your Account.
  • "Business Data" — all data you or your Authorised Users enter, upload or create in the Services, including invoices, credit notes, purchases, expenses, items, payments, ledgers, reports, exports, logos, and Indi AI inputs and outputs.
  • "Party Data" — personal data within Business Data about your customers, vendors, employees or other individuals.
  • "Indi AI" — the AI assistant features of the Services, including voice input.
  • "Applicable Law" — all laws in force in India that apply, including the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023 ("DPDP Act"), the Central Goods and Services Tax Act, 2017 ("CGST Act") and the corresponding State and Integrated GST laws, and the rules made under them.
  • "Fees" — charges for any paid plan we may introduce.

3. Eligibility

3.1 You must be at least 18 years old and competent to contract under the Indian Contract Act, 1872.

3.2 The Services are for business and professional use by businesses operating in India. You may not use them if the law bars you from doing so, or if we have previously terminated your Account for breach of these Terms.

4. Your Account and its security

4.1 Give accurate and complete registration information and keep it up to date. Register with an email address you control.

4.2 You are responsible for all activity under your Account. Keep your password confidential, do not share sign-in details, and give each Authorised User separate access where the Services allow it.

4.3 Tell us immediately at ________________ if you suspect unauthorised access. We are not liable for loss caused by your failure to keep your sign-in details secure.

4.4 We may ask you to verify information (for example, your email or GSTIN) and may refuse or cancel a registration that appears false or misleading.

5. The Services

5.1 The Services help you create GST invoices and credit notes, record purchases, expenses and payments, track amounts due, manage an item and service catalog, prepare reports such as profit and loss, trial balance and day book, and export available GST summaries, such as GSTR-1 and GSTR-3B data in CSV format.

5.2 Unless the Services expressly say otherwise, Indian Billing does not file GST returns for you, generate e-invoices (IRN) or e-way bills through government systems, act as a GST Suvidha Provider, or collect payments on your behalf. If the law requires you to generate e-invoices or e-way bills, you must do so through the official systems.

5.3 We may add, change or remove features, especially during early access. If we remove a core feature you rely on, we will try to give you reasonable notice.

5.4 We may set reasonable usage limits, for example on Indi AI requests or storage, to keep the Services fair and stable for everyone.

6. Early access, plans and payment

6.1 Early access. The Services are currently free during early access. We collect no payment details and charge no Fees. Early-access features are provided as they are and may change or be withdrawn.

6.2 Introducing paid plans. Before introducing any paid plan, we will publish its price and terms and notify you at least 30 days in advance. We will charge you only if you actively choose a paid plan. If you do not, we may move your Account to a free tier (if offered) or close it at the end of the notice period. Either way, you will have at least 30 days to export your Business Data.

6.3 Fees and taxes. Fees will be shown before you buy and exclude GST, which we will add as the law requires. We will issue you a GST invoice; give us your GSTIN if you wish to claim input tax credit.

6.4 Renewal. Subscriptions renew automatically for the same period unless you cancel. Recurring payments will follow the Reserve Bank of India's rules on e-mandates, including advance notice before each debit, and you may cancel the mandate at any time.

6.5 Failed payments. If a payment fails, we will tell you and may retry it. If it remains unpaid 15 days after our notice, we may suspend paid features or move your Account to a free tier (if offered). Your Business Data will remain available for export.

6.6 Price changes. We will give at least 30 days' notice of any price change, which will apply from your next renewal.

7. Cancellation and refunds

7.1 You can cancel a paid plan at any time in ________________ or by writing to ________________. Cancellation takes effect at the end of the current billing period, and you keep access until then.

7.2 Fees already paid are not refundable, except for:

  1. duplicate or mistaken charges;
  2. the unused part of a prepaid period, refunded pro rata, if we end the Services or your paid plan other than for your breach; or
  3. any refund that Applicable Law requires.

7.3 We pay approved refunds to the original payment method within 10 working days of approval.

8. Your data

8.1 Ownership. You own your Business Data. We claim no ownership of it.

8.2 Licence to us. You give us a limited, non-exclusive, royalty-free licence to host, store, copy, transmit, display and otherwise process Business Data only to provide, secure, support and improve the Services for you, and as Applicable Law requires. This licence ends when your Business Data is deleted under clause 19.3 and our Privacy Policy.

8.3 No other use. We will not sell your Business Data, use it for advertising, or use it to train AI models. We may create aggregated statistics that cannot identify you, your business or any individual, and use them to operate and improve the Services.

8.4 Roles for Party Data. For Party Data, you are the Data Fiduciary and we are your Data Processor under the DPDP Act. You confirm that you have given every notice, and obtained every consent, that the law requires for you to enter Party Data into the Services and have it processed as these Terms describe.

8.5 Our commitments as your Data Processor. For Party Data, we will:

  1. process it only to provide the Services and on your instructions (your use and settings of the Services are your instructions);
  2. ensure that our staff and contractors with access are bound by confidentiality;
  3. apply the security safeguards described in our Privacy Policy;
  4. engage sub-processors only under written contracts with equivalent protections, and keep a list of them available to you;
  5. inform you without delay of any personal data breach affecting your Party Data, and give you the information you reasonably need to meet your own notification duties;
  6. help you respond to individuals exercising their rights, to the extent the Services allow;
  7. delete Party Data when the Services end, as clause 19.3 provides, unless the law requires us to keep it; and
  8. give you the information reasonably needed to show that we comply with this clause.

8.6 Your responsibility. You are responsible for the accuracy, quality and legality of Business Data and for how you obtained it. Do not enter data you have no right to use.

8.7 Backups and export. We keep backups for disaster recovery, but they are no substitute for your own records. Export your Business Data regularly. You remain responsible for keeping records for the periods the law requires, including 72 months under section 36 of the CGST Act.

9. Your responsibilities, including GST compliance

9.1 You alone are responsible for complying with tax and other laws, including:

  • the correctness of every invoice, credit note and record you create, including GSTINs, HSN/SAC codes, tax rates, place of supply, the CGST/SGST/IGST split, reverse charge, invoice numbering and series, and the other particulars GST law requires;
  • registering for GST where required, and generating e-invoices and e-way bills where applicable;
  • checking and reconciling every export (including GSTR-1 and GSTR-3B data) before filing, and filing returns on time;
  • keeping books and records for the periods the law requires; and
  • getting professional advice where needed.

9.2 Calculations, default tax rates, templates, reports and exports in the Services are aids based on the data and settings you provide. They are not tax, legal, accounting or financial advice. Tax laws and rates change, so verify them before relying on any output.

9.3 You are responsible for what your Authorised Users do, and for their compliance with these Terms.

9.4 Any message you send to your customers through or from the Services must comply with Applicable Law, including the rules on unsolicited commercial communications.

10. Indi AI

10.1 Indi AI uses third-party AI models to answer questions about your saved records and to draft transactions from your text or voice. Using it is optional.

10.2 AI output may be incomplete, out of date or wrong, including tax rates, amounts and party details. Indi AI shows drafts for your review, and nothing is saved to your books until you confirm it. You must check every draft before saving it, and you are responsible for every record you save.

10.3 Do not use Indi AI to create false documents or records, to impersonate anyone, or for any purpose clause 11 prohibits. We may block requests that appear to breach these Terms or the law.

10.4 Indi AI inputs and outputs are part of your Business Data. We do not use them to train AI models, and we require our AI providers not to do so.

10.5 We may limit, suspend or change Indi AI, including the models it uses, at any time.

11. Acceptable use

11.1 Prohibited information. You must not use the Services to create, host, display, upload, modify, publish, transmit, store, update or share any information that falls within rule 3(1)(b) of the IT Rules, including information that:

  1. belongs to another person and to which you have no right;
  2. is obscene, pornographic, paedophilic, invasive of another person's privacy (including bodily privacy), insulting or harassing on the basis of gender, or racially or ethnically objectionable;
  3. relates to or encourages money laundering, gambling, or online money games or other online games the law prohibits, or promotes enmity between groups on grounds of religion or caste with intent to incite violence;
  4. is harmful to children;
  5. infringes any patent, trademark, copyright or other proprietary right;
  6. deceives or misleads about the origin of a message, or knowingly and intentionally communicates misinformation or information that is patently false or misleading;
  7. impersonates another person;
  8. threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign States or public order, incites the commission of any cognisable offence, prevents the investigation of any offence, or insults another nation;
  9. contains a software virus or any other code, file or program designed to interrupt, destroy or limit the functionality of any computer resource; or
  10. violates any law for the time being in force.

11.2 Fake invoicing and tax fraud. You must not use the Services to issue invoices or bills without an actual supply of goods or services, to create circular or accommodation entries, to wrongfully obtain or pass on input tax credit, or to evade tax. These are serious offences under GST law, including sections 122 and 132 of the CGST Act. If we detect or suspect such use, we may suspend your Account immediately, preserve the records, and report the matter to the authorities where the law requires or permits.

11.3 Prohibited conduct. You must also not:

  1. access or attempt to access another person's Account or data;
  2. probe, scan or test the vulnerability of the Services without our written permission (report security issues to ________________);
  3. reverse engineer, decompile or copy the Services, except as the law expressly permits;
  4. use bots, scrapers or other automated means to access the Services, other than features we provide;
  5. overload or disrupt the Services, or bypass usage limits, security or access controls;
  6. resell, sublicense, or offer the Services to others as a service bureau, without our written consent;
  7. use the Services to send spam or unsolicited commercial communications;
  8. use the Services to build a competing product, or publish benchmarks of them without our consent; or
  9. use the Services in any way that breaches Applicable Law.

11.4 Consequences. If you breach this clause, we may immediately suspend or terminate your access, remove or disable access to the non-compliant information, or both. Where the breach violates the law, you may be liable to penalty or punishment under the Information Technology Act, 2000 or other law. Where it involves an offence that must be reported (for example, under the Bharatiya Nagarik Suraksha Sanhita, 2023 or the Protection of Children from Sexual Offences Act, 2012), we will report it to the appropriate authority. We will remind you of these consequences at least once every three months, as rule 3(1)(c) of the IT Rules requires.

11.5 Preservation. When we remove or disable access to information under the IT Rules, we preserve it and the associated records for 180 days for investigation, or longer if a court or government agency requires.

12. Third-party services

12.1 The Services rely on third-party providers, such as Google (Firebase and Google Cloud) and our AI model providers. They may also link to or work alongside other services, such as government portals, banks, payment apps or messaging apps.

12.2 Your use of any third-party service is governed by that provider's terms. We are not responsible for its availability, accuracy or conduct, including outages of the GST portal or other government systems.

13. Intellectual property

13.1 We and our licensors own the Services, including the software, designs, text and graphics, the names and logos "Indian Billing" and "Indi AI", and all related intellectual property. These Terms give you no rights in them except those stated here.

13.2 Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes.

13.3 You may use the invoice templates and layouts in the Services to create, print and share your own invoices and documents.

13.4 If you send us suggestions or feedback, we may use them freely, without any obligation to you.

14. Confidentiality

14.1 Each party will protect the other's confidential information with reasonable care, use it only to perform under these Terms, and disclose it only to people who need it and are bound by confidentiality. Your Business Data is your confidential information.

14.2 This clause does not cover information that is public through no fault of the recipient, already known to it, independently developed, or lawfully received from someone else. A party may disclose confidential information where the law requires, after giving notice to the other party where lawful.

15. Availability, support and backups

15.1 We aim to keep the Services available at all times but do not guarantee uninterrupted or error-free operation, especially during early access. We may suspend the Services temporarily for maintenance, upgrades or security, and will try to give notice of planned downtime.

15.2 Support is available at ________________. During early access we do not guarantee response times.

15.3 We back up data regularly. If data is lost or corrupted through our fault, we will use reasonable efforts to restore it from the latest available backup; subject to clause 17.3, this is our only obligation for such loss.

16. Disclaimers

16.1 To the extent the law permits, the Services are provided "as is" and "as available". We do not warrant that they will meet your requirements or be uninterrupted or error-free, or that any calculation, report, export or Indi AI output will be accurate, complete, or accepted by any authority.

16.2 To the extent the law permits, we exclude all implied warranties, including of merchantability, fitness for a particular purpose and non-infringement.

16.3 Nothing in the Services is tax, legal, accounting or investment advice.

17. Limitation of liability

17.1 To the extent the law permits, neither party is liable for any indirect, incidental, special, consequential or punitive loss, or for loss of profits, revenue, business, goodwill or anticipated savings. We are also not liable for tax, interest, penalties, late fees or denial of input tax credit arising from records you create, information you enter, or your failure to verify outputs or file on time. This clause does not limit your obligations under clause 18 or to pay Fees.

17.2 To the extent the law permits, our total liability arising out of or relating to the Services or these Terms, in any 12-month period, will not exceed the higher of (a) the Fees you paid us in the 12 months before the event giving rise to the claim, and (b) ₹10,000.

17.3 Nothing in these Terms limits liability for fraud or wilful misconduct, or any liability that cannot be limited under Applicable Law.

18. Indemnity

18.1 You will indemnify Indian Billing and its directors, officers, employees and agents against all claims, losses, liabilities, penalties, costs and expenses (including reasonable legal fees) arising from:

  1. your breach of these Terms or Applicable Law;
  2. your Business Data, including Party Data, and any failure by you to give notice or obtain consent where the law requires;
  3. invoices, records or filings you create or submit;
  4. your use of the Services in breach of clause 11; or
  5. the acts or omissions of your Authorised Users.

18.2 We will notify you promptly of any such claim, let you control its defence where appropriate, and cooperate reasonably at your cost. You may not settle a claim in a way that imposes obligations on us without our written consent.

19. Suspension and termination

19.1 By you. You may stop using the Services and close your Account at any time in ________________ or by writing to ________________.

19.2 By us. We may suspend or terminate your Account, or restrict any feature:

  1. immediately, if you breach clause 11, commit fraud, put the security of the Services or other users at risk, or if the law or a valid order requires it;
  2. on 15 days' notice, for any other material breach you have not remedied within that period; or
  3. on 30 days' notice, if we discontinue the Services or end early access.

19.3 What happens next. When your Account ends, your right to use the Services ends. Your Business Data stays available for export for 30 days, and we then delete it as our Privacy Policy describes. This export window does not apply where the law or an order requires otherwise, or where we terminated for fraud or unlawful use; in those cases we may preserve records and share them as the law requires.

19.4 Survival. Clauses 8, 9, 11.4, 11.5, 13, 14, 16, 17, 18, 19.3, 22 and 24, and any accrued payment obligations, survive the end of these Terms.

20. Changes to these Terms

20.1 We may change these Terms to reflect changes in the Services, our business or the law. We will post the updated Terms with a new effective date.

20.2 For material changes, we will notify you by email or in the app at least 15 days before they take effect, unless a shorter period is needed to comply with the law or address a security risk. If you keep using the Services after the effective date, you accept the updated Terms. If you do not agree, you may close your Account before then.

21. Grievance redressal

21.1 Our Grievance Officer handles complaints about the Services, these Terms, information on the Services, and your personal data:

  • Name and designation: ________________, ________________
  • Email: ________________
  • Phone: ________________ (________________)
  • Address: ________________, ________________

21.2 We acknowledge complaints within 24 hours, give you a ticket number to track them, and resolve them within 7 days. We act on requests to remove information within 36 hours. We act within 2 hours on complaints about content that exposes a person's private areas, shows nudity or a sexual act, or impersonates a person, including morphed images. These timelines follow the IT Rules.

21.3 If you are not satisfied with the Grievance Officer's decision, you may appeal to the Grievance Appellate Committee at www.gac.gov.in within 30 days of receiving it. For personal data matters, you may also approach the Data Protection Board of India once you have used our grievance process.

22. Governing law and disputes

22.1 These Terms are governed by the laws of India.

22.2 Before starting formal proceedings, the parties will try in good faith to resolve any dispute through clause 21 and, if it remains unresolved, through discussion between senior representatives for 30 days.

22.3 Any dispute that remains unresolved will be finally settled by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement or, failing agreement, under that Act. The seat and venue will be ________________, the language English, and hearings may be held online.

22.4 Subject to clause 22.3, the courts at ________________ have exclusive jurisdiction. Either party may seek urgent interim relief from a competent court.

22.5 Nothing in this clause limits any right you have to approach a consumer commission or other forum that Applicable Law makes available and that cannot be excluded by contract.

23. Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, epidemics, war, riots, government action, power or internet failures, failures of cloud or AI providers, cyber attacks despite reasonable safeguards, and outages of the GST portal or other government systems. This clause does not excuse payment obligations.

24. General

24.1 Entire agreement. These Terms, the Privacy Policy and any plan terms we publish form the entire agreement between you and us about the Services.

24.2 Severability. If any provision is held invalid, the rest remains in force, and the invalid provision applies to the fullest extent the law allows.

24.3 No waiver. Not enforcing a right is not a waiver of it.

24.4 Assignment. You may not assign these Terms without our written consent. We may assign them as part of a merger, acquisition or sale of assets, with notice to you.

24.5 Relationship. The parties are independent contractors. Nothing in these Terms creates a partnership, agency or employment relationship.

24.6 Notices. We may give you notice by email to your registered address or in the app. You must send notices to ________________ or our registered office.

24.7 Language. These Terms are written in English. Any translation is for convenience only, and the English version prevails.

24.8 No third-party rights. No one other than you and us has rights under these Terms.
